New NCLT Rules 2016 have been introduced, providing widened scope for application and change of Company name; application for Reservation of company name should be made to the CRC Registrar and not ROC, filing of forms, and the companies’ subsequent integration process has been further simplified.

Inclusion of Foreign Airline Company in S.381(1)(a) within the ambit of the Act, and facilitating its mode of compliance with the wider scope of The Companies Act, 2013.

The time period to comply with rotation changed in a logical manner. Instead of 3 years, the time period is given till 1st AGM held after 3 Years.

Following are some of the amendments to the above Rules:

  1. Deposit does not include-
  • Bonds or debentures compulsorily convertible into shares of the company within 10 years.
  • Any amount raised by issue of non-convertible debenture not constituting a charge on the assets of the company and listed on a recognized stock exchange as per applicable regulations made by SEBI.
  • Any non-interest bearing amount received and held in trust.

The following are the amendments:

  1. Filing of return of appointment not required for CEO, CS & CFO.
  2. Certain exemptions in disclosure in Board’s Report.
  3. The Board’s Report shall include a statement showing the names of the top ten employees in terms of remuneration drawn and the name of every employee who’s
  • Aggregate remuneration throughout the financial year was not less than Rs. 120 Lakhs.
  • Who has been employed for a part of the financial year and aggregate remuneration was not less than Rs. 8.5 Lakhs per month.
  • MR -1 Form shall be substituted.

 

 

Notification dated 01.06.2016

The Central Government constitutes the National Company Law Tribunal and the National Company Law Appellate Tribunal to exercise and discharge the powers and functions under the Act and for hearing appeals against the orders of the National Company Law Tribunal respectively with effect from the 1st day of June, 2016.

Notification dated 16.02.2017

It has been decided to permit Multi-lateral and Regional Financial Institutions in which India is a member country to invest in Rupee denominated bonds issued overseas by Indian entities.

NRIs are permitted to access to the exchange traded currency derivatives market for hedging the currency risks arising out of their investments in India under the Foreign Exchange Management Act, 1999 subject to compliance of the terms and conditions prescribed under the said Notification.
